Investment Criteria

ACF Investors target UK based businesses raising equity rounds or convertible loan notes. Key to our investment model is to only invest when there are at least three Angel investors who are new to the business including one lead Angel investor with demonstrable sector expertise who is committing more than £40,000  (for the Angel CoFund) or more than £70,000 to the round for the Delta Fund.

Is your company a UK incorporated limited company and not a subsidiary of any other business?

(note that this is a key criteria for both that Angel CoFund and Delta Fund)

Are you seeking equity funding?

(i.e. rather than debt, project funding etc)

Are you seeking a convertible loan or Advanced subscription agreement?

No

Are any of the lead investors applying for SEIS?

Yes

Are you a trading commercial business with revenues in the last 12 months greater than £100,000?

(note that this is a key criteria for the Delta Fund but not for the Angel CoFund)

Is the current round size greater than £500,000?

(note that this is a key criteria for the Delta Fund but not for the Angel CoFund)

Is the current round size more than £200,000?

No

Are you seeking at least £200,000 commitment from ACF Investors?

(note that this is a key criteria for the Delta Fund but not for the Angel CoFund)

Are you seeking at least £100,000 commitment from ACF Investors?

No

Will ACF investors be no more than 30% of the total round size?

(note that this is a key criteria for the Delta Fund but not for the Angel CoFund)

Will the proposed investment result in ACF Investors receiving greater than 5% shareholding post investment?

(note that this is a key criteria for both that Angel CoFund and Delta Fund)

Does this funding round provide a cash runway of more than 12 months?

(note that this is a key criteria for both that Angel CoFund and Delta Fund)

Is the company targeting an exit within 7 years via a sale, listing or comprehensive refinancing of the business?

(note that this is a key criteria for both that Angel CoFund and Delta Fund)

Are there at least three Angels who have not previously invested in the company participating in this round?

Are any of the new Angels to the round willing to act as a ‘lead investor’?

(Note that a lead angel investor must be willing to engage with the ACF Investors team to discuss the agreed investment terms, their due diligence and rationale for their investment and that this is a key criteria for both that Angel CoFund and Delta Fund)
